These Terms and Conditions ("Terms") govern your access to and use of the Book a CFO website (the "Platform"), owned and operated by "Book a CFO". The Platform acts as a matching service, connecting businesses ("Customers") seeking interim and fractional CFO services with qualified financial professionals ("CFO Service Providers").

By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and all other policies or guidelines posted on the Platform. If you do not agree to these Terms, you may not use the Platform.

Part 1: General Terms Applicable to All Users (Customers and CFO Service Providers)

1. Acceptance of Terms:

   • This is a legally binding agreement.

   • By using the Platform, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

   • Book a CFO reserves the right to modify these Terms at any time, effective upon posting of the revised Terms on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

2. Nature of the Service:

   • Book a CFO is a matching platform. We facilitate connections between Customers and CFO Service Providers.

   • IMPORTANT: CFO Service Providers are not employees, agents, or contractors of Book a CFO. They are independent professionals.

   • Book a CFO does not directly provide CFO services and is not responsible for the quality, legality, or any aspect of the services provided by CFO Service Providers.

3. User Accounts:

   • To access certain features, you must register for an account.

   • You agree to provide accurate, current, and complete information during registration and keep it updated.

   • You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

   • You must notify Book a CFO immediately of any unauthorized use of your account.

4. Prohibited Conduct:

   • Users agree not to:

     • Violate any applicable laws or regulations.

     • Infringe on the intellectual property rights of others.

     • Post false, misleading, or deceptive information.

     • Engage in any activity that is harmful, fraudulent, threatening, defamatory, or obscene.

     • Distribute spam, viruses, or other harmful code.

     • Interfere with the operation of the Platform.

     • Solicit or attempt to solicit personal information from other users.

     • Circumvent any fees or payment structures of Book a CFO.

     • Engage in any form of "off-platform" dealing to avoid Book a CFO's fees.

5. Intellectual Property:

   • All content on the Platform (text, graphics, logos, software, etc.) is the property of Book a CFO or its licensors and is protected by intellectual property laws.

   • You may not use, reproduce, distribute, or create derivative works from any content on the Platform without explicit written permission from Book a CFO.

   • Users grant Book a CFO a worldwide, non-exclusive, royalty-free license to use, reproduce, and display any content they submit to the Platform for the purpose of operating and promoting the Platform.

6. Disclaimers:

   • "AS IS" Basis: The Platform is provided "as is" and "as available" without warranties of any kind, express or implied.

   • Book a CFO does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses.

   • Book a CFO does not endorse or guarantee the qualifications, experience, or performance of any CFO Service Provider or the accuracy of any Customer's needs.

7. Limitation of Liability:

   • To the fullest extent permitted by law, Book a CFO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Platform; (b) any conduct or content of any third party on the Platform; (c) any content obtained from the Platform; or (d) unauthorized access, use, or alteration of your transmissions or content.

   • In no event shall Book a CFO's aggregate liability exceed the greater of (i) the amount paid by you to Book a CFO for the services during the six (6) month period preceding the claim, or (ii) One Hundred U.S. Dollars ($100).

8. Indemnification:

   • You agree to indemnify, defend, and hold harmless Book a CFO, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your violation of these Terms or your use of the Platform, including but not limited to any disputes between you and another user.

9. Termination:

   • Book a CFO may terminate or suspend your account and access to the Platform at its sole discretion, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

   • Upon termination, your right to use the Platform will immediately cease.

10. Governing Law and Dispute Resolution:

    • These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.

    • Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively through binding arbitration in Kingman, Arizona, in accordance with the rules of the American Arbitration Association.

    • You agree that any claims you may have against Book a CFO may only be brought on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding.

11. Miscellaneous:

    • Entire Agreement: These Terms constitute the entire agreement between you and Book a CFO regarding your use of the Platform.

    • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

    • Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

    • Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Book a CFO's prior written consent. Book a CFO may assign these Terms without restriction.

Part 2: Additional Terms for Customers

1. Customer Responsibilities:

   • Customers are responsible for accurately describing their business needs and the scope of CFO services required.

   • Customers are solely responsible for interviewing, vetting, and selecting CFO Service Providers. Book a CFO does not make any recommendations or guarantees.

   • Customers are responsible for timely communication and providing necessary information to CFO Service Providers to facilitate the engagement.

   • Customers are responsible for negotiating and agreeing upon the terms of engagement (e.g., fees, scope, deliverables, timelines) directly with the CFO Service Provider. Book a CFO is not a party to such agreements.

2. Payment and Fees (Book a CFO's Role):

   • Book a CFO may facilitate payment processing between Customers and CFO Service Providers.

   • Customers agree to pay the fees for CFO services as agreed upon with the CFO Service Provider.

   • Book a CFO may charge a platform fee or commission, which will be clearly disclosed to the Customer prior to engagement.

   • Customers are responsible for any taxes associated with the CFO services they receive.

3. Engagement with CFO Service Providers:

   • All engagements for CFO services facilitated through the Platform are direct contracts between the Customer and the CFO Service Provider.

   • Book a CFO is not responsible for any disputes, breaches of contract, or other issues that may arise between a Customer and a CFO Service Provider.

   • Customers are encouraged to use a clear, written engagement agreement with their chosen CFO Service Provider.

4. Feedback and Reviews:

   • Customers may be invited to provide feedback and reviews of CFO Service Providers.

   • All feedback must be truthful, accurate, and constructive. Book a CFO reserves the right to remove any inappropriate or defamatory feedback.

 

Part 3: Additional Terms for CFO Service Providers

1. CFO Service Provider Responsibilities:

   • CFO Service Providers must accurately represent their qualifications, experience, and services offered.

   • CFO Service Providers are independent contractors and are solely responsible for all aspects of their business, including licensing, insurance, taxes, and compliance with all applicable laws and regulations.

   • CFO Service Providers are responsible for responding promptly to Customer inquiries and for delivering services in a professional and timely manner as agreed upon with the Customer.

   • CFO Service Providers must maintain the confidentiality of Customer information and adhere to professional ethical standards.

   • CFO Service Providers agree to negotiate and execute their own engagement agreements with Customers.

2. Platform Fees and Payments (Book a CFO's Role):

   • CFO Service Providers agree to pay Book a CFO any applicable platform fees, commissions, or subscription fees as set forth in the CFO Service Provider's agreement or as communicated on the Platform.

   • Payments for services rendered to Customers may be processed through the Platform. CFO Service Providers agree to the payment terms and schedules as presented by Book a CFO.

   • Book a CFO is not responsible for non-payment by Customers. While Book a CFO may assist in dispute resolution, the ultimate responsibility for payment collection lies with the CFO Service Provider.

3. Relationship with Book a CFO:

   • CFO Service Providers acknowledge and agree that they are independent contractors and not employees, partners, joint ventures, or agents of Book a CFO.

   • Nothing in these Terms creates an employment, agency, or partnership relationship between Book a CFO and any CFO Service Provider.

   • CFO Service Providers are solely responsible for all tax obligations, including income tax, self-employment tax, and any other applicable taxes arising from their earnings through the Platform.

4. Background Checks and Verification:

   • Book a CFO may, but is not obligated to, conduct background checks or verification processes on CFO Service Providers.

   • CFO Service Providers agree to cooperate with any such requests and provide accurate information.

   • Any verification by Book a CFO does not constitute an endorsement or guarantee of a CFO Service Provider's qualifications or performance.

5. Confidentiality:

   • CFO Service Providers agree to keep confidential all non-public information learned from Customers through the Platform.

6. Non-Circumvention:

   • CFO Service Providers agree not to solicit or accept engagements directly with Customers introduced through the Platform for a period of [e.g., 12 months] following the introduction, without first providing Book a CFO with the agreed-upon platform fee had the engagement occurred through the Platform. This is to protect Book a CFO's business model.
